Ferreri Miller PLLC is a boutique corporate law firm based in Louisville KY, specializing in small- and middle-market mergers & acquisitions (M&A), specialty debt and equity financing transactions, joint ventures and partnerships, fractional in-house counsel services and other general business representation. Our team pairs an entrepreneurial mindset with best-in-class technical skills to find pragmatic, cost-effective solutions for our clients’ corporate legal needs.
We know that building a business is likely among the hardest and most rewarding professional
endeavors you have ever done. The company you have worked to establish represents long days and some waking nights. We also know the sale of your business will be one of the most important financial decisions you make and should be done with a thoughtful and experienced approach.
Our attorneys have deep expertise with all variety of mergers, acquisitions and similar high-stakes business transactions, representing both buyers and sellers in deals ranging from hundreds of thousands of dollars to multiple billions. Our primary focus is smaller and mid-sized transactions and we are often able to offer flat-fee structures for most deals so you can accurately budget for legal costs. If you are considering either the sale or purchase of a company, we’d love to help and would welcome a no cost initial consultation.
Businesses frequently require capital to get off the ground, support their growth or find a new direction. Making sure you understand the implications of various financing mechanisms is one of the most important decisions you will make as a business owner or investor. With deep experience in representing both companies and investors, our team of legal professionals can help make sure the way you finance a business protects your interests and is in line with your short- and long-term goals.
We have experience assisting clients in the formation and registration of investment funds and in the structuring and negotiation of a wide variety of complex joint ventures and other partnerships, both for purposes of investments and for ongoing business operations.
We assist clients in structuring pooled debt or equity investment vehicles, whether for investment in privately held companies or real estate, including fund organization and compliance. These opportunities often require a trained eye in diligence process and document review to allow for
appropriate understanding and negotiations on behalf of the General or Limited Partners.
In serving as “outside corporate counsel” to your organization our goal is to establish deep familiarity with the company’s ongoing objectives to assist management and in-house counsel with high-value
corporate legal services.
Many in-house counsel are fantastic lawyers but not experts in corporate/transactional matters. We offer a supplement to existing legal teams, often for specific projects or types of work, through fixed fee engagement that offer extremely competitive and predictable pricing. We can assist with general contract drafting, review and negotiation for a wide variety of commercial contracts, including customer contracts, vendor and supplier agreements, and I/T agreements. We can also assist with your employment agreements, offer letters and equity compensation arrangements, and IP-related
agreements including intellectual property assignments, confidentiality agreements, and similar arrangements. We frequently handle entity formation with special expertise in designing and
implementing complex holding company structures.
Robert (Bobby) Ferreri has practiced law for over twenty years with experience in corporate matters including entity formation, fundraising, purchase agreements and negotiations. During Bobby’s legal career he has also represented hundreds of clients in civil and administrative disputes.
In addition, Bobby’s background includes nearly a decade of work in regional economic development matters. In that work Bobby was responsible for the formation of the Southeast’s first and longest running healthcare accelerator, the formation of a private investment fund for early-stage companies, the relocation of over a dozen corporate headquarters and the launch of economic development strategies focused on industry clusters.
Bobby has been named to Louisville’s 40 Under 40, Whose Who In Louisville Technology, and Young Philanthropist of the Year. He is a graduate of Miami University (with degrees in finance and marketing) and the University of Louisville where he received a Masters of Business Administration and Juris Doctorate. Our mission is to create a better model for the delivery of corporate legal services. We want to help our clients turn opportunities into reality and find practical solutions to their most challenging legal problems.
Being a boutique firm offers us the ability to be flexible in how we approach an engagement. We believe the traditional “big law” model is being challenged through the rapid development of new technologies that allows for a new era of efficiency from legal services providers. We approach each matter individually and welcome conversations with clients about the pricing model that best fits their needs. Our promise is to avoid surprises.
For clients seeking accessible corporate counsel for a fixed monthly budget. Retainer agreements begin with us developing a deep familiarity with the client’s current business and objectives and then being on call for the execution of legal and strategic initiatives.
For a specific transaction or goal with a well-defined deliverable we are often able to offer a flat rate. These engagements put the risk on us to figure out more efficient ways to get things done—without sacrificing quality or results.
For situations where the traditional legal pricing model simply makes more sense, we offer traditional hourly pricing. In hourly pricing models we maintain our commitment to work as efficiently as possible and avoid surprise pricing.
